Terms and Conditions

1. Introduction and Acceptance of Terms

These Terms and Conditions (the “Agreement”) are entered into by and between CKII Holdings LLC, operating under the RemiBlast brand (“RemiBlast,” “we,” “us,” or “our”), and the individual or entity accessing or using the Services (“Subscriber,” “you,” or “your”). RemiBlast provides a software-as-a-service platform for real estate lead management, business communications, SMS and MMS messaging, campaign management, and related business activities. By registering for an account, subscribing to a plan, accessing, or using the Services, you acknowledge that you have read, understood, and agreed to this Agreement.

2. Grant of License

Subject to your compliance with this Agreement and payment of all applicable fees, RemiBlast grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services during your active subscription. This license is solely for your internal business purposes. RemiBlast and its licensors retain all rights, title, and interest in the Services.

3. Permitted Use

You may use RemiBlast to manage business contacts, organize real estate leads, conduct authorized business communications, manage messaging campaigns, and use other features made available through your subscription. Your use must comply with this Agreement, applicable law, third-party terms, and your subscription limits. You may not use RemiBlast for unlawful, fraudulent, deceptive, abusive, or unauthorized activity.

4. Account Access and Security

You are responsible for maintaining the confidentiality and security of your account credentials, keeping registration information accurate, limiting access to authorized users, and promptly notifying RemiBlast of suspected unauthorized access or security breaches. You accept responsibility for activity conducted through your account except where applicable law provides otherwise.

5. Restrictions

You agree not to copy, modify, reverse engineer, resell, sublicense, commercially exploit, or interfere with the Services; bypass usage limits or security controls; upload malicious code; access another user’s account; or send unlawful, unsolicited, deceptive, abusive, or otherwise prohibited communications. RemiBlast may investigate violations and restrict, suspend, or terminate access.

6. Compliance with Laws and Messaging Regulations

You must comply with all applicable federal, state, local, and international laws, including the TCPA, FCC rules, CAN-SPAM where relevant, privacy and data protection laws, Do Not Call requirements, carrier policies, and A2P 10DLC requirements. You are solely responsible for your campaigns, recipients, content, consent, timing, frequency, opt-out handling, and suppression lists.

7. Subscriber Data and Privacy

You retain ownership of Subscriber Data. You grant RemiBlast a non-exclusive, worldwide license to host, store, process, transmit, reproduce, display, and otherwise use Subscriber Data as reasonably necessary to provide, secure, support, maintain, and improve the Services and comply with law. You represent that you have the rights and lawful basis necessary to provide the data.

8. Usage and Technical Data

RemiBlast may collect technical, diagnostic, performance, and usage information relating to the Services, including platform activity, feature usage, system performance, error logs, and integration information. We may use Usage Data to operate, secure, maintain, analyze, and improve the Services subject to applicable law and our Privacy Policy.

9. Subscription Fees and Payments

You agree to pay subscription fees, usage charges, messaging fees, applicable taxes, and other charges associated with your account. Recurring fees are charged in advance unless otherwise stated. Usage charges may depend on message volume, segments, destinations, carriers, telephone numbers, and third-party provider pricing. You authorize RemiBlast and its payment processor to charge your payment method.

10. Automatic Renewal and Cancellation

Paid subscriptions automatically renew at the end of each billing cycle unless otherwise stated. You may cancel through account settings where available or by contacting Support@remiliux.com. Cancellation generally takes effect at the end of the current paid period. Fees already charged are non-refundable except as required by law or expressly provided in an applicable policy.

11. Confidentiality

Each party will protect non-public information disclosed by the other party, use it only as necessary to perform obligations or exercise rights under this Agreement, and disclose it only to people or service providers who need access and are subject to appropriate confidentiality obligations.

12. Third-Party Services and Integrations

RemiBlast may integrate with telecommunications providers, messaging APIs, CRM platforms, payment processors, and other external services. Third-party services may have separate terms, privacy policies, fees, and technical requirements. RemiBlast is not responsible for independent third-party operations or interruptions except as required by law.

13. Message Delivery and Service Availability

RemiBlast does not guarantee that every SMS, MMS, notification, or communication will be delivered successfully, immediately, or without interruption. Delivery may be affected by carriers, devices, spam filtering, networks, provider outages, incorrect recipient information, and regulatory restrictions.

14. Suspension and Termination

RemiBlast may suspend or terminate access where reasonably necessary for nonpayment, material breach, unlawful use, security or fraud risks, messaging-compliance risks, or where required by law. Upon termination, your license ends and Subscriber Data may become unavailable. You are responsible for exporting data before access ends where export functionality is available.

15. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless RemiBlast and its affiliates, owners, officers, employees, contractors, service providers, and representatives from third-party claims arising from your breach, unlawful conduct, messages, campaigns, contact lists, failure to obtain consent, misuse of data, or violation of third-party terms.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. REMIBLAST DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, and does not guarantee uninterrupted service, message delivery, lead accuracy, business results, or legal compliance.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMIBLAST WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OF DATA. Aggregate liability will not exceed the amount paid or payable for the Services during the three-month period preceding the event giving rise to the claim.

18. Intellectual Property

The Services, including software, design, branding, user interface, documentation, and underlying technology, are owned by RemiBlast or its licensors and protected by intellectual property laws. No intellectual property rights are transferred except for the limited rights expressly granted in this Agreement.

19. Use of Subscriber Name and Branding

RemiBlast will not use your business name, logo, or trademarks in public marketing materials to identify you as a customer without your consent, except as permitted by law or agreed separately in writing.

20. Export Controls and International Use

You agree to comply with applicable U.S. export control, sanctions, and other relevant laws. You may not use the Services where prohibited by law and are responsible for determining whether your use complies with laws applicable to your location and business activities.

21. Independent Contractors

Nothing in this Agreement creates a partnership, joint venture, employment, agency, franchise, or fiduciary relationship between you and RemiBlast. Neither party may bind the other without express written authorization.

22. Dispute Resolution

The parties will attempt in good faith to resolve disputes through informal discussions. If a dispute cannot be resolved informally, either party may pursue remedies available under applicable law. No mandatory arbitration, class-action waiver, or jury-trial waiver is created by this section.

23. Governing Law

This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Subject to mandatory legal requirements, the parties consent to the jurisdiction of the competent state and federal courts serving Sheridan County, Wyoming.

24. Force Majeure

Neither party will be liable for delay or failure to perform obligations, other than payment obligations, caused by circumstances beyond reasonable control, including natural disasters, governmental actions, utility failures, internet outages, telecommunications failures, and third-party service disruptions.

25. Assignment

You may not assign or transfer your rights or obligations without RemiBlast’s prior written consent, except where prohibited by law. RemiBlast may assign this Agreement to an affiliate, successor, or purchaser in connection with a business transaction.

26. Severability

If any provision is determined to be invalid, unlawful, or unenforceable, it will be limited or modified to the minimum extent necessary to make it enforceable where permitted by law. The remaining provisions continue in effect.

27. Waiver

A failure or delay by either party to enforce a provision is not a waiver of that provision or any other right. Any waiver must be in writing, and a waiver of one breach is not a waiver of a later breach.

28. Entire Agreement

This Agreement, together with our Privacy Policy, applicable Messaging Terms and Conditions, subscription terms, and policies incorporated by reference, constitutes the agreement between you and RemiBlast concerning the Services.

29. Changes to the Services

RemiBlast may update, modify, add, or discontinue features from time to time. Where reasonably practicable, we will provide notice of material changes that substantially affect paid Services.
